Statements of Beneficial Ownership Pursuant to Section 16 of the 1934 Securities Exchange Act

Effective June 30, 2003, Beneficial ownership Form 3 (initial statement), Form 4 (statement of changes) and Form 5 (annual statement) and their amendments must be filed electronically via EDGAR. Forms may be submitted directly by the reporting owner/issuer using the SEC Online Forms website, which requires completion and submission of the form in one session and does not allow for retention of data. Or, if you prefer, send us your data to input and submit on your behalf. Your forms are retained on our secure network for revision, should an amendment or subsequent filings be required.

Form 3 is due within 10 days after the event by which the individual becomes a reporting person, but no later than the effective date of the registration statement for first time issuers.

Form 4 is due before the end of the 2nd business day following the day on which a transaction resulting in a change in beneficial ownership has been executed.

Form 5 is due on or before the 45th day after the end of the issuer’s fiscal year.

Section 16 filings submitted on or before 10pm are deemed filed on that day.

The SEC requires an issuer that maintains a corporate website to post on its website all Forms 3, 4 and 5 and their amendments filed with respect to its equity securities by the end of the business day after filing.

Reporting owners must electronically file Form ID to apply for EDGAR access codes, if they do not already have them, prior to filing Forms 3, 4 and 5 via EDGAR. A duly authorized person, such as a partner, president, treasurer, corporate secretary, officer, or director, must sign the Form ID. Section 16 filers may have someone with their power of attorney sign the Form ID.
